Facts

Tom White, a newsagent and tobacconist, hired a tradesman's carrier cycle from the defendants to deliver newspapers, under a written agreement in which the defendants undertook to maintain the machines and supply spare cycles when needed. When White's cycle required repair, the defendants supplied a spare. Shortly after he began riding it, the saddle tilted forward, throwing him off and injuring his knee. The defendants relied on an exemption clause in the agreement that purported to exclude their liability for personal injury to riders.

Analysis
  • Where a defendant may be liable on two possible grounds — a stricter contractual liability and a tort liability for negligence — an exemption clause is construed, so far as possible, as exempting the defendant only from the stricter liability, not from liability for negligence.
  • A person wishing to exempt themselves from a liability the common law imposes can only do so through words that are clear beyond the possibility of misunderstanding.
  • The negligence claim here was founded in tort, not in contract — the duty not to be negligent exists independently of what the parties agreed, so the plaintiff was entitled to frame his claim in tort even though the same facts also happened to give rise to a contract claim.

Judgement

The Court of Appeal held that the exemption clause protected the defendants only from their strict contractual liability, not from an independent claim in the tort of negligence. The appeal was allowed, the earlier judgment set aside, and a new trial ordered on the issue of negligence.
