Trimex International offered to supply imported bauxite to Vedanta Aluminium. Over several rounds of email correspondence, the parties negotiated and reached agreement on all essential commercial terms — price, quantity, quality specifications, and delivery schedule. Following this email exchange, Trimex began shipping the bauxite. A formal contract document was later drafted by the parties for signature, incorporating an arbitration clause, but it was never actually signed by both sides. A dispute later arose regarding the quantity/quality of a shipment, and Vedanta contended no binding contract existed between the parties at all, since the formal document was never executed — and in particular, that the arbitration clause in the unsigned draft could not be invoked.

Analysis
