 An English case establishing that consideration need not be economically adequate — it must only have some real value in the eyes of the law, however small compared to what is received in return.

Facts

Before his death, John Thomas orally expressed a wish that his widow, Eleanor, be allowed to live in their house for the rest of her life, but this was never written into his will. After his death, his executors — one of whom was his brother, Benjamin — entered into a written agreement with Eleanor: she could occupy the house for life (or until remarriage) provided she paid a nominal £1 a year as ground rent and kept the property in good repair. The executors later tried to evict her, arguing the agreement was unenforceable since £1 a year was nowhere near a real, commercial rent for the property, and was really just a voluntary gift dressed up as a contract.

Analysis

• Justice Patteson drew a sharp line between motive and consideration: the husband's dying wish explained why the executors wanted to help Eleanor, but a motive is not the same thing as consideration in the legal sense — it doesn't itself support a contract.

• What did support the contract was Eleanor's own promise: to pay £1 a year and to keep the house in repair. This was real, and had genuine value in the eyes of the law — even though it was nowhere close to a fair market rent.

• The court held firmly that adequacy of consideration is not for a court to assess — the parties themselves decide what bargain suits them; the law only checks that something of value was given, not whether it was a good deal.

• Because Eleanor's £1 payment and repair obligation had real (if modest) legal value, and were the actual price of her occupation of the house — not just a restatement of her late husband's wish — the agreement was a proper contract, not a disguised gift.

Judgement

The court held in favour of Mrs. Thomas — the agreement was a valid, binding contract. Her promise to pay £1 a year and maintain the house was real consideration, even though it was nowhere near the market value of the benefit she received.
