Superintendence Company of India (P) Ltd. v. Krishan Murgai (1980)

A Supreme Court decision holding that a restrictive covenant continuing to bind an employee after they leave employment is generally void under Section 27, unlike a restriction that operates only during employment.

FACTS

An employee of a company providing inspection and quality-certification services was employed under a contract that included a covenant barring him, for two years after leaving the company's service, from engaging in a similar business or working for a competitor. After resigning, he joined a competing business, and his former employer sought an injunction to enforce the covenant.

ISSUES

Whether a restrictive covenant that operates after the termination of employment is enforceable, or void under Section 27 as a restraint of trade.

ANALYSIS
  • Restrictive covenants operating during the subsistence of employment are generally valid, since the employee remains free to pursue their trade once the relationship ends.
  • A covenant continuing to restrict the employee's freedom after employment has ended is, in India, generally treated as void under Section 27.
  • India does not recognise the English common law "reasonable restraint" exception for post-employment covenants the way English courts sometimes do.
  • A blanket restraint from carrying on a similar business, not limited strictly to protecting genuine trade secrets, goes beyond what can be justified and falls within Section 27's prohibition.
JUDGEMENT

The Supreme Court held the post-employment restrictive covenant void as an unreasonable restraint of trade under Section 27, and refused to enforce it.

CONCLUSION

This case is the leading modern Indian authority distinguishing valid during-employment restraints from generally void post-employment restraints, frequently tested through employment-contract problem questions.
