A restraint of trade clause is any agreement term stopping someone from practising a lawful profession, trade, or business. Indian law voids these to the extent they restrain trade, with exactly one exception — a reasonable restriction on the seller of a business's goodwill. Unlike English law, even a small, local restraint outside that exception is void here, not just an unreasonable one.
A software company makes every new employee sign a clause barring them from working for any competitor, anywhere in India, for three years after resigning. Even if the employee freely signed it, Indian courts will strike this clause down as void the moment it's challenged — it's a post-employment restraint of trade, not a goodwill-sale exception, so Section 27 applies in full.
This is the go-to concept whenever a problem question describes an employment contract with a non-compete clause, and it's the subject of both Madhub Chander v. Raj Coomar Doss and Superintendence Company of India v. Krishan Murgai.
Raj Coomar Doss, Superintendence Company of India v. Krishan Murgai రెండింటికీ సంబంధించినది.
Students often think a restraint of trade clause is fine as long as it's "reasonable" — borrowing the English law test. In India, reasonableness only matters inside the one statutory goodwill exception; outside it, even a narrow, genuinely reasonable-sounding restraint is still void under Section 27.
