Facts

Montefiore applied to buy shares in the newly formed Ramsgate Victoria Hotel Company in June, and paid a deposit at the time of his application. The company did not respond at all until November — nearly five months later — when it purported to accept his application and allot him the shares, asking him to pay the balance. By this time, market conditions had shifted and the shares were no longer attractive to Montefiore, so he refused to go through with the purchase. The company sued for the balance, treating its November letter as valid acceptance of his June offer.
