Dharmodas Ghose, a minor, owned immovable property, with his mother as his legally appointed guardian. Because a guardian had been appointed for his property, the age at which he attained majority was 21, not the usual 18, under Section 3 of the Indian Majority Act, 1875. On 20 July 1895, while still a minor, Dharmodas mortgaged his houses to a Calcutta moneylender, Brahmo Dutt, to secure a loan of ₹20,000 at 12% interest, of which he actually received a smaller sum. Brahmo Dutt was away from Calcutta throughout, and the transaction was carried out on his behalf by his attorney, Kedar Nath Mitter, using funds arranged by Dutt's local manager, Dedraj. Before the mortgage was executed, Kedar Nath Mitter had been clearly informed that Dharmodas was still a minor.

After attaining majority, Dharmodas, through his mother and guardian, sued to have the mortgage declared void and the deed cancelled, on the ground that he had no capacity to enter into it when it was made. The trial court held the mortgage void for want of capacity and granted the relief sought, and the Calcutta High Court upheld that decision on appeal. By the time the matter reached the Privy Council, Brahmo Dutt had died, and the appeal was carried on by his executors, including Mohori Bibee.

- Sections 10 and 11 of the Indian Contract Act, 1872, read together, mean only a person competent to contract — of the age of majority, of sound mind, and not disqualified by law — can form an agreement enforceable as a contract. Since Dharmodas was a minor, he was never a competent party, so no contract came into existence at all; the mortgage was void ab initio, not a contract he could merely choose to avoid.

- Because there was, in law, never a contract at all, there was nothing capable of being ratified by Dharmodas after he attained majority, and nothing capable of being enforced by either side.

The Privy Council rejected this: estoppel protects a party who was actually misled by a false representation, and here the lender's own agent, Kedar Nath Mitter, already knew the truth before the mortgage was signed — there can be no estoppel where the truth is known to both parties.

- The Board also relied on Section 19 of the Contract Act, under which a misrepresentation that does not actually cause the other party's consent has no legal effect, and on the English decision in Nelson v. Stocker, holding that estoppel cannot be used to defeat the very protection the law gives to a person under a legal incapacity such as minority.

- The moneylender further asked that Dharmodas be made to repay, under Sections 64 and 65 of the Contract Act, the money he had actually received, as a condition of setting the mortgage aside. The Privy Council held that both sections presuppose a valid agreement between competent parties — Section 64 governs a party's right to rescind a voidable contract, and Section 65 governs an agreement discovered to be void or a contract that later becomes void. Since Dharmodas's agreement was void from its very inception and never a contract between competent parties, neither section could apply.

- Relying on the English case Thurstan v. Nottingham Permanent Benefit Building Society, the Board held that a court of equity cannot compel a person to repay money under a transaction that the legislature has declared void — ordering repayment here would let the lender achieve indirectly, through a court decree, exactly what the void mortgage could not achieve directly.

- This did not leave a lender with no remedy at all against a minor's estate: Section 68 of the Contract Act separately allows a person who has supplied a minor with necessaries to recover their value from the minor's own property. This is a narrow, quasi-contractual liability limited to necessaries actually supplied — it does not revive the void mortgage or make Dharmodas personally liable on it.

The Privy Council dismissed the appeal, affirming the trial court and the Calcutta High Court. It held that the mortgage was void ab initio and rightly set aside, that Dharmodas was not estopped from pleading his minority since the lender's own agent knew of it, and that the moneylender's claim for repayment of the money advanced could not succeed under Sections 64 or 65 of the Contract Act.

Mohori Bibee is the founding authority for the entire law of minor's agreements in India, going deliberately further than the English position of the time, where some contracts by minors were treated as merely voidable. Its three enduring consequences — no ratification after majority, no estoppel against the minor, and generally no restitution against the minor personally — remain the settled Indian position on incapacity to contract.

The rule has been maintained, not diluted: the Supreme Court reaffirmed it in Mathai Mathai v. Joseph Mary (2014), holding a mortgage executed by a minor void ab initio. Courts have, however, carved out a separate, narrow space for a guardian acting on a minor's behalf — in Sri Kakulam Subrahmanyam v. Kurra Subba Rao (1948), the Privy Council held that a contract made by a guardian for a minor's benefit, and within the guardian's own competence to make, can be specifically enforced. This binds the guardian's authorized act, not the minor personally contracting, so it does not disturb the rule in Mohori Bibee.
