A Calcutta High Court decision establishing that Indian law voids even a partial restraint of trade under Section 27 — unlike English common law, which permits "reasonable" partial restraints outside the goodwill exception.

Two rival shopkeepers carried on similar businesses in the same locality. One agreed to pay the other a sum of money if he would close his business there and not carry on the same trade in that locality again. The agreement was later challenged as void under Section 27.
Whether an agreement restraining a person from carrying on a lawful trade in a particular locality (a partial restraint) is void under Section 27, even though English law of the time permitted "reasonable" partial restraints.
- Section 27 voids every agreement restraining anyone from exercising a lawful profession, trade, or business, to that extent, with only the goodwill exception.
- Unlike English common law, which asks whether a restraint is "reasonable," Section 27's wording contains no such general reasonableness qualifier outside the goodwill context.
- The court held that even a restraint limited to a particular locality still falls within Section 27's wording and is void, since the section does not distinguish partial from total restraints.
The Calcutta High Court held the agreement void under Section 27, since it restrained the shopkeeper from carrying on his trade, regardless of the restraint being only local or partial in nature.
Madhub Chander v. Raj Coomar Doss is the classic authority establishing that Indian law, unlike English law, voids even partial and reasonable-seeming restraints of trade outside the goodwill exception, and is cited in every restraint-of-trade problem question.
Madhub Chander v.
