Facts

A property owner had mortgaged land to Ram Autar Pande, the mortgagee, to secure a debt. The mortgagor later sold the mortgaged property to a purchaser, Jamna Das's predecessor-in-interest, and as part of the sale price arrangement, the purchaser agreed with the mortgagor to pay off the outstanding mortgage debt directly to Ram Autar Pande. The purchaser did not pay the mortgage debt as promised. Ram Autar Pande, the mortgagee, sought to directly enforce the purchaser's promise, even though he himself had never been a party to the sale agreement between the mortgagor and the purchaser — his only relationship was the original mortgage with the mortgagor.

Analysis

• The Privy Council applied the ordinary rule of privity of contract strictly: a promise made in a contract between two parties (mortgagor and purchaser) cannot be directly enforced by a third person (the mortgagee) who wasn't a party to that specific agreement, however much that third person might stand to benefit from its performance.

• The Court distinguished this from cases involving a genuine family arrangement or a beneficiary interest created deliberately for a third party's benefit — here, the purchaser's promise was simply a commercial arrangement about how the purchase price would be applied, made between mortgagor and purchaser for their own convenience, not a settlement designed to create rights for the mortgagee.

• The mortgagee's proper remedy remained against the mortgagor personally (on the original mortgage debt) and against the mortgaged property itself, not a fresh direct action against the purchaser based on a promise made in an agreement to which he was a stranger.

Judgement

The Privy Council held the mortgagee could not enforce the promise directly against the purchaser — the mortgagee was never a party to the agreement between the mortgagor and the purchaser, so strict privity of contract applied and barred the claim.

Conclusion

Jamna Das v. Ram Autar Pande is a useful counterweight to Khwaja Muhammad Khan — it shows that the family-arrangement exception is genuinely narrow, and that ordinary commercial arrangements involving an incidental third-party benefit don't automatically qualify for an exception to privity.
