Gherulal Parakh v. Mahadeodas Maiya (1959)

A Supreme Court decision establishing that void and illegal are genuinely different categories under the Indian Contract Act — a partnership formed to carry on wagering transactions is void, but not illegal.

FACTS

Two people entered into a partnership specifically to carry on wagering transactions in the nature of speculative forward contracts in wheat. A dispute arose between the partners over settling accounts from these transactions, and one partner argued the entire partnership was illegal, since it was formed for a wagering purpose.

ISSUES

Whether a partnership formed to carry on wagering transactions is illegal under Section 23 — as opposed to merely void under Section 30 — such that the partners cannot approach a court to settle accounts.

ANALYSIS
  • Section 30 renders wagering agreements void and unenforceable, but does not by itself declare them illegal or immoral for the purposes of Section 23.
  • The Supreme Court held that wagering does not fall within the "immoral" or "opposed to public policy" grounds of Section 23, at least not so as to taint a partnership formed for such transactions.
  • Since the underlying agreements were void but not illegal, the partnership formed to carry them on was not itself illegal, and the courts could still assist in settling accounts.
  • This decision drew a sharp line between "void" and "illegal," with real practical consequences for whether collateral relationships and transactions survive.
JUDGEMENT

The Supreme Court held that the partnership formed to carry on wagering transactions was not illegal, since wagering agreements, though void under Section 30, are not unlawful or immoral under Section 23; the accounts between the partners could be settled by the court.

CONCLUSION

Gherulal Parakh v. Mahadeodas Maiya remains the leading Indian authority establishing that void and illegal are distinct categories with different consequences, cited whenever this distinction is tested.

Gherulal Parakh v. Mahadeodas Maiya void, illegal
