Facts

Paul Felthouse had discussed buying a horse from his nephew, John Felthouse. There was some confusion over the price — the nephew thought he'd said 30 guineas, the uncle understood 30 pounds. Paul wrote to John: "If I hear no more about him, I consider the horse mine at £30 15s." John never replied to this letter at all, but he did tell Bindley, the auctioneer handling the sale of his farm stock, to keep the horse out of the auction since he considered it already sold to his uncle. Bindley, through a mistake, sold the horse at the auction anyway. Paul Felthouse then sued Bindley in conversion (wrongful sale of another's property) — but to succeed, he first had to prove the horse was legally his at the time of the auction, meaning he had to prove a valid contract existed between himself and his nephew.

Analysis

• Willes J, delivering the lead judgment, held that the nephew had never actually communicated any acceptance to his uncle — his instruction to Bindley to withhold the horse was a private direction, never communicated to Paul Felthouse himself, and so could not count as acceptance directed at the offeror.

• The court reasoned that an offeror cannot unilaterally impose an obligation on the offeree to take positive steps to reject an offer — Paul Felthouse could not, by his own words, turn his nephew's silence into a binding "yes."

• Because there was no communicated acceptance, no contract had come into existence between uncle and nephew before the auction — meaning the horse was still legally the nephew's property at the time it was sold.

• Byles J and Keating J agreed with Willes J's reasoning without adding substantially different grounds.

Judgement

The Court of Common Pleas held that there was no valid contract between Paul Felthouse and his nephew, since acceptance was never actually communicated. Felthouse's action against Bindley for conversion therefore failed — the horse legally belonged to the nephew's estate at the time of the auction sale.
