Facts

Dunlop, a tyre manufacturer, wanted to maintain a standard resale price across the market for its tyres. It sold tyres to a dealer, Dew & Co., under a contract requiring Dew not to resell below Dunlop's listed price, and further requiring Dew to obtain the same price-floor promise from any retailer Dew supplied. Dew sold tyres to Selfridge, and as part of that separate contract, Selfridge agreed with Dew not to sell below the listed price, and to pay Dunlop £5 in liquidated damages for every tyre sold in breach. Selfridge then sold tyres below the agreed price. Dunlop sued Selfridge directly for an injunction and the £5-per-tyre damages. At trial, the judge found in Dunlop's favour. The Court of Appeal reversed, holding Selfridge was not bound since it was neither a principal nor an agent in relation to Dunlop. Dunlop appealed to the House of Lords.

Analysis

• Viscount Haldane LC laid down three fundamental principles of English law relevant here: first, the doctrine of privity — only a party to a contract can sue on it; second, the doctrine of consideration — a person can enforce a promise only if consideration moved from that person to the promisor; third, the doctrine of agency — an undisclosed principal can sue only if the promisor genuinely contracted as an agent for that principal.

• Applying these principles, Haldane found no consideration moving directly from Dunlop to Selfridge — the £5-per-tyre discount and arrangement flowed entirely through Dew, not from Dunlop itself.

• Haldane also rejected the agency argument: the written contract between Dew and Selfridge treated Dew as a principal in its own right, not as an agent acting on Dunlop's behalf — the same document could not simultaneously be read both ways.

• The House unanimously agreed that whatever the commercial merits of Dunlop's position, English law recognised no jus quaesitum tertio — no right arising by contract in favour of a third party who was a genuine stranger to the agreement.

Judgement

The House of Lords unanimously held Dunlop could not sue Selfridge. Dunlop was not a party to the contract between Dew and Selfridge — however much that contract was designed to protect Dunlop's interests, Dunlop was a stranger to it and had no standing to enforce it.
