FACTS

Directors of a tramway company issued a prospectus stating they had the right to run trams by steam power, honestly believing this based on a provisional approval, without realising that final consent from the Board of Trade was still required. That consent was later refused. Peek, who had purchased shares relying on the prospectus, sued the directors for deceit.
