Facts

During the influenza epidemic of 1889–1890, the Carbolic Smoke Ball Company advertised in newspapers that its product, used three times daily for two weeks as directed, would prevent influenza. The advertisement promised £100 to anyone who used the smoke ball properly and still caught flu, and stated the company had deposited £1,000 with the Alliance Bank "shewing our sincerity in the matter." Mrs. Louisa Carlill bought a smoke ball, used it exactly as directed, and still contracted influenza. She sued for the £100. The company refused to pay, arguing the advertisement was mere advertising puffery, not a serious offer — and even if it were an offer, Mrs. Carlill had never communicated her acceptance to the company before using the product.

Analysis

• Lindley LJ held that the advertisement's specific mention of the £1,000 bank deposit was crucial — it distinguished this from vague sales talk and showed the company genuinely intended to be bound, converting what might otherwise be mere puffery into a serious, express promise.

• The court held this was a general offer made to the whole world, not to any one specific person — such an offer becomes a binding promise to any individual who comes forward and performs the stated conditions.

• On communication of acceptance, the court reasoned that in this special class of unilateral, conduct-based contracts, requiring formal notification of acceptance before performance would defeat the entire purpose of the offer — the offer itself dispenses with the need for prior communication, and performing the act is itself the acceptance.

• Bowen LJ and A.L. Smith LJ addressed consideration: Mrs. Carlill's act of using the smoke ball as directed was a real inconvenience undertaken at the company's request, and was itself sufficient consideration — she did not need to give anything beyond performing the conditions.
